1. Introduction and Acceptance of Terms

Welcome to CareerCoin (careercoin.io). These Terms and Conditions (“Terms”) govern your access to and use of the CareerCoin platform, website, and related services (collectively, the “Services”) operated by CareerCoin (“we”, “us”, or “our”).

By registering an account or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not use our Services.

CareerCoin is currently operated as a pre-incorporation project. The company is in the process of formal legal registration. Until incorporation is completed, the platform is operated directly by its founders. This document will be updated to reflect the registered legal entity as soon as incorporation is finalised.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to use CareerCoin. By registering, you confirm that you meet this requirement. We reserve the right to terminate any account we reasonably believe is operated by a person under the age of 18.

2.2 Account Accuracy

You agree to provide accurate, complete, and current information during registration and to keep your account details up to date. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

2.3 One Account Per Person

Each user may maintain only one personal account. Creating multiple accounts, impersonating another person, or registering on behalf of someone else without their explicit consent is prohibited and may result in immediate account suspension.

2.4 Account Inactivity

Accounts that have been inactive for a continuous period of six (6) months may be deleted without prior notice. To keep your account active, you must log in at least once every six (6) months. We will make reasonable efforts to notify you before deletion, but cannot guarantee delivery of such notices.

2.5 Email Address Policy

You must register using a valid, personal email address that you own and regularly access. Registrations using temporary, disposable, or fake email addresses are not permitted and may result in account termination.

3. Description of Services

CareerCoin is a professional social network and merit-based career platform that allows users to:

• Create and manage a professional profile
• Search for job opportunities and apply to them
• Post job advertisements (for eligible users and companies)
• Take courses and structured learning paths
• Connect with other professionals, send messages, and collaborate
• Share professional content, case studies, and insights
• Earn virtual CareerCoin tokens as recognition for platform contributions

The Services are provided free of charge to individual users. Premium or paid features for companies may be introduced in the future; in such cases, separate commercial terms will apply and will be communicated in advance.

4. CareerCoin Virtual Tokens

4.1 Nature of Tokens

CareerCoin tokens (“Tokens”) are virtual, non-monetary recognition points awarded within the platform for user activity and contributions. Tokens are strictly virtual and have no monetary value. They are not a currency, cryptocurrency, financial instrument, or tradeable asset of any kind.

4.2 Non-Convertibility

Tokens cannot be exchanged for money, transferred outside the platform, sold, or used for any financial transaction. They exist solely as an internal measure of merit and engagement within CareerCoin.

4.3 Earning and Deductions

The complete list of actions that earn or reduce Tokens is published at: careercoin.io/rewarding-rules/. We reserve the right to modify the Token earning rules, amounts, and mechanics at any time without prior notice. Changes to Token rules are not retroactive.

4.4 No Proprietary Rights

Tokens do not represent any ownership interest, equity, or right in CareerCoin. We may modify, suspend, or discontinue the Token system at any time, and such actions shall not create any liability or obligation toward users.

5. User Obligations and Prohibited Conduct

5.1 General Obligations

You agree to use CareerCoin only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations, including those of the European Union and the Republic of Italy.

5.2 Prohibited Activities

You must not:

• Create a false identity, impersonate any person, or misrepresent your affiliation with any person or entity
• Use automated tools, bots, scripts, crawlers, or any technical means to scrape, copy, or extract data from the platform without our written consent
• Circumvent, disable, or interfere with security features or access controls of the Services
• Copy, redistribute, or commercially exploit any content obtained through the Services without prior written authorisation
• Publish content that is false, defamatory, discriminatory, offensive, or that violates the rights of third parties
• Advertise fraudulent, misleading, or illegal job opportunities
• Engage in any form of harassment, bullying, or abusive conduct toward other users
• Violate the intellectual property rights of CareerCoin or any third party
• Use the platform for any purpose unrelated to professional networking, recruitment, or career development

5.3 User Responsibility for Content

You are solely responsible for all content you publish on the platform, including your profile information, posts, job advertisements, and messages. By publishing content, you represent that you have all necessary rights to do so and that such content does not violate any applicable law or third-party rights.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of the content you publish on CareerCoin. By submitting content to the platform, you grant CareerCoin a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Services.

6.2 CareerCoin’s Intellectual Property

All intellectual property rights in the CareerCoin platform, brand, software, design, and associated materials are owned by or licensed to CareerCoin. You may not use, copy, reproduce, or distribute any part of our intellectual property without our prior written consent.

6.3 Content Moderation

We reserve the right to remove or restrict any content that violates these Terms or that we deem, in our sole discretion, to be inappropriate, harmful, or contrary to the professional nature of the platform. We are under no obligation to publish or retain any content.

7. Privacy and Data Protection

7.1 GDPR Compliance

CareerCoin is committed to protecting your personal data in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation, “GDPR”) and applicable Italian data protection law (Legislative Decree 196/2003 as amended by Legislative Decree 101/2018).

7.2 Privacy Policy

The collection, use, and retention of your personal data is governed by our Privacy Policy, available at careercoin.io/privacy-policy/. The Privacy Policy forms an integral part of these Terms and explains, among other things:

• The categories of data we collect and the purposes for which we process them
• The legal bases for processing under Article 6 GDPR
• Data retention periods
• Your rights as a data subject (access, rectification, erasure, portability, objection, restriction)
• How to contact our data protection contact point

7.3 Your Rights

You have the right to access, rectify, or request erasure of your personal data at any time by contacting us at privacy@careercoin.io. You also have the right to lodge a complaint with the Italian Data Protection Authority (Garante per la protezione dei dati personali) at www.garanteprivacy.it.

8. Job Advertisers

Users and companies who post job advertisements on CareerCoin agree to the following additional obligations:

• All job postings must be accurate, genuine, and not misleading
• Job postings must not contain discriminatory language on the basis of race, colour, religion, gender, national origin, age, disability, or any other characteristic protected under applicable law
• Postings must not advertise illegal, fraudulent, or unethical positions or activities
• Advertisers must respond promptly and professionally to applications received through the platform
• Advertisers must maintain the confidentiality of all personal data of applicants and comply with applicable data protection law

CareerCoin is not responsible for the accuracy of job postings or for the conduct of advertisers. We reserve the right to remove any job posting and suspend any advertiser account without notice if we determine these obligations have been violated.

9. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or by prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you may close your account before the changes take effect. Changes are never retroactive.

10. Account Suspension and Termination

10.1 Termination by You

You may request deletion of your account at any time by contacting us at support@careercoin.io. Following identity verification, we will process your request in accordance with our Privacy Policy and applicable law.

10.2 Termination by CareerCoin

We may suspend or terminate your account, without prior notice, if we have reasonable grounds to believe you have:

• Violated these Terms or any applicable law
• Provided false information during registration or on your profile
• Engaged in fraudulent, abusive, or harmful conduct
• Remained inactive for more than six consecutive months

Where termination is not due to urgent circumstances, we will endeavour to give you reasonable notice and an opportunity to respond before taking action.

11. Disclaimer and Limitation of Liability

11.1 Service Availability

The Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee uninterrupted, error-free, or secure access to the platform. We reserve the right to modify, suspend, or discontinue the Services at any time with reasonable notice.

11.2 Limitation of Liability

To the fullest extent permitted by applicable law, CareerCoin shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services, including loss of data, loss of profits, or reputational harm.

Nothing in these Terms shall limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable EU or Italian consumer law.

11.3 Third-Party Content

CareerCoin is not responsible for content published by users, including job advertisements, profile information, or messages. Users are solely responsible for their content and for any harm resulting from it.

12. Governing Law and Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of the Republic of Italy, without prejudice to any mandatory consumer protection rights you may have under the law of your country of residence within the European Union.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy. As a consumer, you also have the right to use the European Commission’s Online Dispute Resolution (ODR) platform, accessible at: ec.europa.eu/consumers/odr.

Note: Mandatory arbitration clauses that would deprive consumers of the right to judicial recourse are not valid under Italian and EU consumer law (Article 33, Italian Consumer Code, Legislative Decree 206/2005). Any dispute resolution shall therefore respect your statutory right to access the courts.

13. General Provisions

13.1 Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CareerCoin regarding your use of the Services and supersede all prior agreements or understandings on this subject.

13.3 Language

These Terms are available in English and Italian. In the event of any conflict or inconsistency between the two versions, the Italian version shall prevail for users based in Italy.
